4.3 Timeline and Milestones
We commit to delivering projects according to agreed timelines. However, timelines may be affected by factors including but not limited to delayed client feedback, scope changes, or unforeseen technical challenges.
4.4 Client Responsibilities
Clients are responsible for:

- Ensuring clear communication with the assigned team
- Making timely payments as per the agreed schedule
5. Pricing and Payment Terms
5.1 Quotations
We provide free quotes based on project requirements. All prices are quoted in Indian Rupees (INR) unless otherwise specified and are exclusive of applicable taxes.
5.2 Payment Schedule
Payment terms will be specified in the service agreement and typically include:
- An initial deposit upon project commencement
- Milestone-based payments during development
- Final payment upon project completion
5.3 Late Payments
Late payments may result in project suspension and may incur interest charges at the rate of 2% per month or the maximum rate permitted by law, whichever is lower.
5.4 Additional Costs
Costs for third-party services, licenses, hosting, or other external resources will be communicated in advance and are typically the client’s responsibility unless otherwise agreed.
6. Intellectual Property Rights
6.1 Client Ownership
Upon full payment, all intellectual property rights for the custom-developed deliverables will be transferred to the client, unless otherwise specified in the service agreement.

We retain ownership of:
- Pre-existing intellectual property and proprietary tools
- General knowledge and methodologies
- Reusable code frameworks and libraries
6.3 Third-Party Components
Projects may include third-party components, open-source software, or licensed materials subject to their respective licenses and terms.
6.4 Portfolio Rights
We reserve the right to showcase completed projects in our portfolio unless a non-disclosure agreement specifies otherwise.
7. Confidentiality
We respect the confidentiality of client information. All proprietary information, trade secrets, and sensitive data shared during the project will be kept confidential and will not be disclosed to third parties without prior written consent.
Clients are also required to maintain confidentiality regarding our proprietary methodologies, processes, and any confidential information shared by the Company.
8. Quality Assurance and Testing
We follow industry best practices including Test-Driven Development (TDD) and Acceptance Test-Driven Development (ATDD) to ensure quality deliverables. However:
- Software is complex and bugs may occur despite thorough testing
- We provide a warranty period for bug fixes as specified in the service agreement
- Post-warranty support and maintenance are available under separate agreements
9. Warranties and Disclaimers
9.1 Service Warranty
We warrant that services will be performed with reasonable skill and care in accordance with industry standards.
9.2 Disclaimer of Warranties
Except as expressly stated, all services are provided “as is” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
9.3 No Guarantee of Results
While we strive for excellence, we do not guarantee specific business results, traffic levels, sales figures, or market success of the delivered products.
10. Limitation of Liability
To the maximum extent permitted by law:
- The Company’s total liability shall not exceed the total amount paid by the client for the specific project giving rise to the claim
- We shall not be liable for indirect, incidental, special, consequential, or punitive damages
- We shall not be liable for any loss of profits, revenue, data, or business opportunities
- These limitations apply regardless of the legal theory upon which the claim is based
11. Indemnification
The client agrees to indemnify and hold harmless Zelescope Technologies Pvt Ltd, its directors, employees, and agents from any claims, damages, losses, or expenses arising from:
- Client’s breach of these Terms and Conditions
- Client’s violation of any law or third-party rights
- Content, materials, or information provided by the client
- Client’s use of the delivered products or services
12. Termination
12.1 Termination by Client
Clients may terminate a project with written notice. In such cases:
- Client is responsible for payment of all work completed to date
- Client will receive deliverables for completed milestones
- Deposits and payments made are non-refundable
12.2 Termination by Company
We reserve the right to terminate services if:
- Client fails to make payments as agreed
- Client breaches these Terms and Conditions
- Client’s actions impede project progress
- Continuing the relationship becomes impractical
13. Changes and Modifications
13.1 Scope Changes
Any changes to the project scope must be requested in writing and approved by both parties. Changes may result in adjusted timelines and costs.
